2. Modifications of Terms of Use

NRY reserves the right, at its sole discretion, to modify or replace the Terms of Use at any time. If the alterations constitute a material change to the Terms of Use, NRY will notify you by posting an announcement on the Site and by adjusting the date at the top of this page, in the same release as the change itself. What constitutes a “material change” will be determined at NRY's sole discretion, in good faith and using common sense and reasonable judgment. You are responsible for reviewing and becoming familiar with any such modifications. Use of the Site by you following such notification constitutes your acceptance of the Terms of Use as modified.

3. Content Ownership

NRY shall retain all worldwide rights in the intellectual property of the Site and any content on the Site, including, but not limited to, trademarks, the “look and feel” of the Site, its colour combinations, layout, and all other graphical elements, and the copyright in and to its original content. You should assume that everything you read or see on the Site is copyrighted or otherwise protected and owned by NRY. Unless expressly granted to you under these Terms of Use, nothing in these Terms of Use grants you any right or licence to use NRY's confidential or proprietary information, intellectual property, or content otherwise owned by NRY.

4. Usage Rights

When using the Site, you shall at all times comply with all applicable law and these Terms of Use. Further, when using the Site you will comply with the following, and will not permit or authorise any third party to act inconsistently with the following:

Nothing that you read or see on the Site, or any of the source code that NRY uses to generate the Site, may be copied, reproduced, modified, distributed, transmitted, republished, displayed, or performed, or have derivative works created from it, without the prior written consent of NRY, except as provided in these Terms of Use or as otherwise permitted by relevant law;

Without NRY's express prior written permission, you will not use software, devices, scripts, robots, scrapers, crawlers, or other automated tools or processes to scrape or copy the Site or any content available on or through the Site;

You will not reverse engineer, decompile, disassemble, decipher, or attempt to discover any source code or underlying ideas or algorithms of any software referred to or described on the Site, or create modifications or derivative works thereof; and

You will not use or access any content, documents, or source code that you may read, see, or access on the Site to compete with NRY, or to create any product or service that performs functionality similar to any product or service offered by NRY now or in the future.

5. Use of Software

The Site does not currently offer any NRY software for download. Access to and use of NRY's platforms and builds — including Forge, Blackwave, Whitestorm, Snowcrest, and Nightfall — is licensed under the separate written agreements concluded between NRY and its clients, not by these Terms of Use.

To the extent that NRY ever provides for the download of software from the Site, together with any related information or documentation (collectively, “Software”), such Software will be protected by the applicable copyright, patent, or other intellectual property rights of NRY or its licensors, and its use will be subject to the applicable licence terms accompanying it. As between the parties, NRY solely shall own and retains all rights, title, and interest in and to the Software, including all intellectual and industrial property rights embodied in it. You shall not reverse engineer or attempt to discover any source code or underlying ideas or algorithms of any Software, except to the extent that applicable law expressly prohibits such a restriction.

6. Indemnity

You will indemnify and hold harmless NRY, its clients, vendors, officers, and employees from any liability, damage, or cost (including reasonable legal fees and costs) arising from any claim or demand made by any third party due to or arising out of your access to or use of the Site or any content on the Site, your violation of these Terms of Use, or your infringement of any intellectual property or other right of any person or entity.

7. Warranty Disclaimers

Diligent care has been taken in acquiring and providing the information included and posted on the Site. Nonetheless, NRY makes no guarantee or warranty, express or implied, as to the reliability, accuracy, timeliness, or completeness of that information, and assumes no responsibility for any errors or omissions therein. The Site presents our platforms, services, and work; it is not an offer, and no engagement exists until a written agreement says so.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: YOU ACCESS THIS SITE AT YOUR OWN RISK. THE SITE AND ALL CONTENT ON THE SITE ARE PROVIDED ON AN “AS IS, AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, AND ANY AND ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT ARE SPECIFICALLY DISCLAIMED. NEITHER NRY NOR ITS EMPLOYEES OR AGENTS SHALL BE LIABLE FOR ANY LOSS RESULTING FROM USE OR UNAVAILABILITY OF INFORMATION OR CONTENT ON THIS SITE, INCLUDING BUT NOT LIMITED TO ANY LOST PROFITS, LOSS OR DAMAGE TO DATA, OR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, COMPENSATORY, OR INCIDENTAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS DISCLAIMER APPLIES TO ANY DAMAGE OR INJURY RESULTING FROM NEGLIGENCE OR OMISSION OF NRY, COMPUTER VIRUS OR OTHER SIMILAR ITEM, TELECOMMUNICATIONS ERRORS, OR UNAUTHORISED ACCESS TO OR USE OF USER INFORMATION THROUGH THEFT OR ANY OTHER MEANS. NRY IS NOT LIABLE FOR CRIMINAL, TORTIOUS, OR NEGLIGENT ACTIONS OR OMISSIONS OF THIRD PARTIES THAT AFFECT THIS SITE.

Nothing in these Terms of Use excludes or limits any liability that cannot be excluded or limited under mandatory applicable law, including liability for damage caused by intent or gross negligence, and nothing in these Terms of Use affects any mandatory rights you have as a consumer.

8. Linking and Framing

NRY does not object to links on third-party sites to the homepage of the Site in an appropriate context. However, “framing” or “mirroring” the Site or any of its content is prohibited without the prior written consent of NRY.

The Site links to NRY’s own profiles on third-party platforms (Instagram, X, LinkedIn, and GitHub) from its footer, and may in future provide other links to external sites or resources. Such links are provided as a convenience and for informational purposes only unless otherwise expressly noted. Because NRY has no control over external sites and resources, you acknowledge and agree that NRY is not responsible for their availability, does not endorse them beyond the content NRY itself publishes there, and is not responsible or liable for any content, advertising, products, services, or other materials on or available from them, or for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on them. Contact the external third-party website for answers to questions regarding its content.

9. Trademarks and Trade Names

The company name, graphics, logos, designs, page headers, button icons, scripts, and other product and service names — including NRY Partners, Forge, Blackwave, Whitestorm, Snowcrest, Nightfall, Causeway, and Open Systems — are the trademarks and trade names of NRY. NRY's trademarks and trade names may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion. NRY Partners is a trade name of NRY Global Trade, registered with the Dutch Chamber of Commerce.

10. Illustrative Content and Third-Party References

The Site presents NRY's platforms and ways of working through worked examples. The organisations, individuals, quotations, statistics and outcomes that appear in the Site's impact studies, partner references, press items and similar illustrative material are fictitious composites, created by NRY to demonstrate how its products and services operate in realistic settings; they are described by kind, region and scale rather than by name, and they do not identify actual clients, actual engagements or actual results. Any resemblance between such a composite and any real company, organisation, product or person, living or dead, is unintended and purely coincidental, and implies no association with, endorsement by or reference to that company, organisation, product or person. Statements attributed to NRY ("field notes") are NRY's own observations about how its software is used, not testimony from any client.

NRY is an independent company. NRY is not affiliated with, endorsed by, or sponsored by any other software or technology company, and nothing on the Site should be read as claiming such a relationship. Third-party trademarks, trade names and logotypes shown on the Site — for example the software, cloud and open-source projects NRY's products are built on or connect to — remain the property of their respective owners; their appearance indicates interoperability or use, does not imply any affiliation, endorsement, or sponsorship, and it is used, if at all, only to the extent permitted by applicable law. If you believe any content on the Site infringes rights you hold, please contact us at info@nrypartners.com; we take such notices seriously and will review the matter promptly.

11. Electronic Communications

We use reasonable security measures and take reasonable system, process, and administrative precautions to protect the security and integrity of e-mail and other electronic communications that you may send to us. Despite all these precautions, no method of transmission over the Internet is entirely secure, and we cannot guarantee the confidentiality or security of electronic communications or their contents. You transmit such information at your own risk, and you should decide carefully which information you want to send us via any electronic communication. How we handle the personal data in such communications is described in our Privacy Statement.

12. Security

Users are prohibited from violating or attempting to violate the security of the Site. NRY will investigate occurrences of possible violations and will cooperate with all applicable law enforcement authorities in prosecuting violators. If you believe you have found a vulnerability in the Site, we ask that you report it to info@nrypartners.com before disclosing it publicly; we will respond, and we will not pursue good-faith research conducted within that responsible-disclosure spirit.

13. Government and Public-Sector Users

NRY's platforms and builds are commercial items, developed fully at private expense. If you access the Site as, or on behalf of, a government or public-sector entity, your use of the Site grants no rights in NRY's platforms, documentation, or technical data of any kind. Any use, duplication, reproduction, release, modification, disclosure, or transfer of NRY software by a public-sector entity, including deployments in sovereign or classified environments, is governed exclusively by the written agreements concluded for that deployment and the procurement framework that applies to it.

14. Miscellaneous

These Terms of Use constitute the entire agreement between users of the Site and NRY regarding the subject matter hereof. If you breach any term of the Terms of Use, NRY may pursue any legal or equitable remedy available, including but not limited to direct, consequential, and punitive damages and injunctive relief. NRY's remedies are cumulative and not exclusive. Failure of NRY to exercise any remedy or enforce any portion of the Terms of Use at any time shall not operate as a waiver of any remedy or of the right to enforce any portion of the Terms of Use at any time thereafter. If any provision of these Terms of Use is held to be invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid one that most closely matches its intent. Users of this Site are responsible for compliance with all applicable regulations and laws.

These Terms of Use, and any dispute arising out of them, are governed by the laws of the Netherlands, notwithstanding any conflicts of law principles. Any action relating to the Terms of Use must be filed and maintained in the competent court of the district in which NRY Global Trade has its registered seat, and users consent to the exclusive jurisdiction and venue of such court for such purpose, except where mandatory law grants you the right to bring proceedings elsewhere. If you are legally exempt from certain responsibilities, then those responsibilities do not apply to you under these terms.
